Private Beta Terms of Service – Magpie

These terms apply from the date shown above.

These Private Beta Terms of Service ("Terms") govern your participation in the private beta of Magpie, a device monitoring platform operated by NICE-AV LTD ("we", "us", "our").

Invitation only

Access to Magpie during the private beta is by invitation only. Admin accounts are created by NICE-AV LTD and cannot be self-registered. You may not share credentials or transfer access without our prior written consent.

About Magpie

Magpie is a device monitoring, diagnostics, and alerting platform provided for business use. By using the service, you confirm that you are acting on behalf of a business or organisation.

Service availability

Magpie is provided on a best-efforts basis. We do not guarantee uptime, availability, or error-free operation. There is no service level agreement (SLA) during the beta period.

Magpie does not guarantee that all faults will be detected or that alerts will be delivered without delay.

Backup and recovery

Data backup and recovery are provided on a best-efforts basis only. We do not guarantee any specific recovery time objective (RTO) or recovery point objective (RPO). You are responsible for maintaining your own copies of any critical configuration or data where appropriate.

Accounts

Customers are responsible for:

• Maintaining the security of their accounts and credentials
• Ensuring that authorised users act appropriately
• Ensuring devices monitored via Magpie are owned or authorised by them

Alerts and automation

Alerts and automated actions (where enabled) are provided on a best-efforts basis. NICE-AV LTD is not responsible for losses resulting from missed, delayed, or incorrect alerts.

Customers are responsible for enabling, configuring, and supervising any automated actions.

Support

Support is provided during UK business hours where reasonably practicable. Response times are not guaranteed during the beta period.

Termination

We may suspend or terminate your access to the beta at any time, with or without notice, for any reason. This includes, but is not limited to, breach of these Terms or if use of the service poses a security or operational risk.

You may discontinue use at any time by notifying us.

Limitation of liability

To the maximum extent permitted by law:

• Magpie is provided "as is" without warranties of any kind, express or implied
• NICE-AV LTD is not liable for any indirect, incidental, special, or consequential losses arising from use of the service
• Our total liability to you in connection with the service shall not exceed £100

Feedback

Any feedback, suggestions, or ideas you provide during the beta may be used by NICE-AV LTD without restriction or compensation.

No ownership transfer

These Terms do not transfer any intellectual property rights. All rights in Magpie, including software, designs, and documentation, remain with NICE-AV LTD.

Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any disputes arising from or in connection with these Terms.

Changes to these Terms

We may update these Terms at any time. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.
